Terms of Service

Welcome to ShoperPal. By accessing or using our marketplace platform at shoperpal.com ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Platform.

ShoperPal Inc. ("ShoperPal", "we", "us", or "our") operates an AI-powered e-commerce marketplace connecting verified manufacturers and suppliers ("Suppliers") with buyers ("Shoppers") in the United States.

You must be at least 18 years old to use the Platform. By creating an account, you represent and warrant that:

• You are at least 18 years of age.
• You have the legal capacity to enter into a binding agreement.
• You will use the Platform in compliance with all applicable laws and regulations.
• You are not located in a jurisdiction where use of the Platform is prohibited.

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your account credentials.
• Promptly notify us of any unauthorised access to your account.
• Accept responsibility for all activities under your account.

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in fraudulent activity.

4.1 Purchases

When you place an order on ShoperPal, you are entering into a contract directly with the Supplier. ShoperPal acts as a marketplace facilitator and is not the seller of record unless explicitly stated.

4.2 Payment

All payments are processed securely through Stripe. Your payment is held in escrow until delivery is confirmed, providing buyer protection. By providing payment information, you authorise us to charge the applicable amount.

4.3 Cancellations & Returns

Orders may be cancelled within 1 hour of placement. After shipment, our standard 30-day return policy applies. Refunds are processed within 5–10 business days after the Supplier confirms receipt of the returned item.

4.4 BTCY Rewards

Shoppers earn BTCY cryptocurrency rewards on eligible purchases. Rewards are credited within 48 hours of confirmed delivery. BTCY tokens are governed by separate token terms.

5.1 KYB Verification

All Suppliers must complete our Know Your Business (KYB) verification process before listing products. This includes submitting valid business registration documents, identity verification, and bank account details for payouts.

5.2 Product Listings

Suppliers are responsible for the accuracy of product descriptions, pricing, images, and stock levels. Listings must not be misleading, illegal, or violate any third-party intellectual property rights.

5.3 Prohibited Products

The following are strictly prohibited on ShoperPal:

• Counterfeit, replica, or trademark-infringing goods
• Weapons, firearms, or ammunition
• Controlled substances or drug paraphernalia
• Adult content or age-restricted products without proper verification
• Recalled or unsafe products
• Any item prohibited by US federal or state law

5.4 Fees & Payouts

ShoperPal charges a platform fee of 8% on each completed transaction. Payouts are processed via Stripe Connect within 7 business days of order delivery confirmation.

The ShoperPal platform, including its name, logo, design, software, and content created by us, is owned by ShoperPal Inc. and protected by copyright, trademark, and other intellectual property laws.

By uploading content (product images, descriptions, etc.) to the Platform, you grant ShoperPal a non-exclusive, royalty-free, worldwide licence to use, display, and distribute such content for Platform operations and marketing.

You agree not to:

• Use the Platform for any unlawful purpose
• Engage in fraudulent transactions or chargeback abuse
• Scrape, crawl, or use automated tools to access the Platform without permission
• Attempt to gain unauthorised access to any part of the Platform
• Post false, misleading, or defamatory reviews
• Circumvent our payment system by transacting off-platform
• Harass, threaten, or harm other users

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. SHOPERPAL DOES NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOPERPAL'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE TOTAL FEES PAID BY YOU TO SHOPERPAL IN THE 3 MONTHS PRECEDING THE CLAIM.

SHOPERPAL IS NOT RESPONSIBLE FOR THE QUALITY, SAFETY, LEGALITY, OR AVAILABILITY OF PRODUCTS LISTED BY SUPPLIERS, THOUGH WE MAKE REASONABLE EFFORTS TO VERIFY SUPPLIER CREDENTIALS.

Any disputes arising from these Terms or your use of the Platform shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, disputes shall be settled by binding arbitration under the American Arbitration Association rules, in the State of Delaware.

You waive any right to participate in a class action lawsuit or class-wide arbitration.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

We may modify these Terms at any time. We will notify you of material changes by email or a prominent notice on the Platform at least 14 days before the changes take effect. Continued use of the Platform after changes constitutes acceptance of the new Terms.
